Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and FreightBid LLC, a California limited liability company ("FreightBid," "we," "us," or "our"). By accessing or using FreightBid at freightbid.io, you agree to be bound by these Terms.

1. Definitions

In these Terms:

  • "FreightBid" means FreightBid LLC and its successors, assigns, and permitted transferees.
  • "Platform" means the FreightBid software-as-a-service portal, website, mobile applications, APIs, and all associated services and content made available at freightbid.io and subdomains thereof.
  • "Shipper" means a company or individual that creates an account, issues requests for quote (RFQs), and uses the Platform for procurement purposes.
  • "Broker" means a licensed motor carrier broker, freight broker, or other entity holding the requisite U.S. Department of Transportation authority and licensed or authorized to arrange transportation of property.
  • "Carrier" means a person or entity holding authority to transport property by motor vehicle, rail, ocean, or air, including but not limited to motor carriers, rail carriers, ocean shipping lines, and air carriers.
  • "RFQ" means a Shipper-initiated request for quote distributed through the Platform, specifying freight characteristics, origin, destination, equipment type, service level, and other parameters.
  • "Quote" means a written offer of transportation or brokerage services submitted by a Broker or Carrier in response to an RFQ.
  • "Service" or "Services" means the Platform and all features, functionality, data, analytics, communications, and support provided by FreightBid.
2. Acceptance of Terms; Click-Wrap Consent

2.1 Binding Agreement. By clicking "I agree to the Terms of Service and Privacy Policy" during account signup, or by accessing and using the Platform in any capacity, you agree to be legally bound by these Terms. If you do not agree, do not create an account or use the Platform.

2.2 E-SIGN Act Compliance. You consent to receive these Terms and all disclosures, confirmations, invoices, and notices electronically. You affirmatively consent to transact electronically and to conduct business with FreightBid entirely through electronic means, including electronic signatures. Your electronic signature has the same legal effect as your handwritten signature. You may withdraw this consent only by terminating your account and ceasing use of the Platform.

2.3 Modifications. These Terms may be modified at any time. FreightBid will provide 30 days' written notice via email to the address associated with your account for all material changes. Continued use of the Platform after the 30-day notice period constitutes acceptance of the modified Terms. If you do not accept a modification, your sole recourse is to cancel your account before the modification becomes effective.

Exception: Modifications to Section 14 (Founder Tier Pricing Commitment) are governed by Section 20 below.

3. Nature of the Service; FreightBid Is Not a Broker or Carrier

3.1 What FreightBid Is. FreightBid is a software-as-a-service platform that provides Shippers with tools to issue requests for quote ("RFQs"), distribute those RFQs to broker and carrier panels that Shippers themselves assemble and manage, collect and compare responsive Quotes, and administer Shipper-directed procurement workflows. FreightBid's sole commercial relationship with its customers is the provision of Platform access in exchange for subscription fees.

3.2 What FreightBid Is Not. FreightBid is not, and does not hold itself out as, any of the following:

  • (a) a "broker" as defined in 49 U.S.C. § 13102(2) or 49 CFR Part 371;
  • (b) a "freight forwarder" as defined in 49 U.S.C. § 13102(8);
  • (c) a motor carrier, rail carrier, ocean carrier, or air carrier;
  • (d) an agent, representative, or fiduciary of any Shipper, Broker, or Carrier;
  • (e) a party to any transportation contract, rate confirmation, bill of lading, or service agreement entered into between Shipper and any Broker or Carrier.

3.3 FreightBid Does Not Arrange Transportation. FreightBid does not solicit, arrange, negotiate, broker, procure, or sell transportation of property. FreightBid does not select Brokers or Carriers, does not recommend Brokers or Carriers, does not verify or endorse the authority, credentials, insurance, financial responsibility, safety record, or performance of any Broker or Carrier, and does not accept any portion of freight charges or transportation revenue. FreightBid's compensation consists solely of subscription fees paid by Shippers for Platform access.

3.4 Shipper Assembles and Manages Its Own Broker Panel. Each Shipper is solely responsible for identifying, vetting, contracting with, and managing the Brokers and Carriers it invites to participate in its RFQs through the Platform. Shippers represent and warrant that they have an independent commercial relationship with each Broker and Carrier they invite to the Platform and that they possess the legal authority to distribute RFQs to those parties.

3.5 All Transportation Contracts Are Between Shipper and Broker/Carrier. Any transportation, brokerage, or carriage contract resulting from a Quote submitted through the Platform is formed exclusively between the Shipper and the responding Broker or Carrier. FreightBid is not a party to, and has no rights or obligations under, any such contract. Shipper and Broker/Carrier are solely responsible for all terms, performance, payment, indemnification, insurance, regulatory compliance, claims, disputes, and remedies arising from those contracts.

3.6 No Reliance on Platform Content as Brokerage Advice. Any information presented by the Platform—including without limitation price benchmarks, response-rate indicators, aggregated lane analytics, historical quote data, or suggested actions—is provided for informational purposes only and does not constitute brokerage advice, transportation advice, a recommendation of any Broker or Carrier, or a representation as to fair market rates. Shipper agrees that its selection of Brokers and Carriers, and its acceptance of any Quote, is made in its sole discretion based on its own commercial judgment.

3.7 Product Evolution. The Platform, including its features, workflows, user interface, analytics, integrations, pricing tiers, and available subscription plans, will evolve over time as FreightBid innovates, responds to customer feedback, and adapts to market conditions. FreightBid reserves the right to add, modify, enhance, deprecate, or remove features at its sole discretion. No representation is made that any specific feature, workflow, integration, or capability will remain available indefinitely. Your continued use of the Platform after any such change constitutes acceptance of the Platform as modified. Nothing in this Section diminishes FreightBid's obligations under Section 14 (Founder Tier Pricing Commitment), which governs pricing only, not feature availability.

4. Account Terms

4.1 Account Responsibility. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify FreightBid immediately of any unauthorized use of your account.

4.2 One Account Per Entity. Each Shipper may maintain only one active account unless otherwise authorized in writing by FreightBid. If FreightBid discovers multiple accounts controlled by the same entity, FreightBid may consolidate accounts or suspend all but one.

4.3 Account Eligibility. You must be at least 18 years old and have the legal authority to enter into binding contracts on behalf of your company or entity. By creating an account, you represent that you have such authority.

4.4 Account Inactivity. FreightBid may suspend accounts that have been inactive for 12 consecutive months. FreightBid will provide 30 days' notice via email before suspension. You may reactivate a suspended account by logging in and confirming your information.

4.5 Rate Limits and Fair Use. FreightBid may impose reasonable rate limits on RFQ issuance volume, quote notification frequency, email sending, and other Platform activities to preserve service quality for all users. Rate limits applicable to a subscription tier will be published on the pricing page and will not fall below the stated minimum for that tier. FreightBid may throttle, limit, or temporarily suspend account activity that exceeds published limits without prior notice. If FreightBid implements a new rate limit that materially affects your usage patterns, FreightBid will provide reasonable notice and an opportunity to upgrade your subscription tier or negotiate enterprise terms. Rate limit enforcement is not a breach of this Agreement by FreightBid and does not entitle you to a refund.

5. Subscription & Billing

5.1 Subscription Tiers. FreightBid offers the following subscription tiers:

  • Free Tier: Includes 3 RFQs per account, lifetime. After 3 RFQs, account is limited to viewing existing RFQ history and received quotes; further RFQ issuance requires paid subscription. No cost.
  • Founder Tier: Includes unlimited RFQs, shipper analytics dashboard, batch quoting, quote scoring, and quote history archive. Monthly subscription fee of $199, subject to the Founder Tier Pricing Commitment in Section 14 below.
  • Standard Tier: Includes unlimited RFQs, shipper analytics dashboard, batch quoting, quote scoring, and quote history archive. Monthly subscription fee as published on the FreightBid pricing page at the time of subscription, subject to modification at FreightBid's sole discretion with 30 days' notice.

5.2 Billing and Payment. Subscription fees are billed monthly via Stripe. Payment is due on the first day of each calendar month. If a charge fails, FreightBid will retry within 5 business days. If payment fails after retry, FreightBid may suspend Platform access without further notice until payment is received.

5.3 Refund Policy. Subscription fees are billed in advance and are non-refundable upon payment, except as expressly required by applicable law. Cancellation by the subscriber is effective at the end of the current billing period; the subscriber retains Platform access through the paid period and is not charged for partial months. Termination by FreightBid is governed by Sections 10.6 and 18.3.

5.4 Cancellation. You may cancel your subscription at any time via your Account Settings at freightbid.io/account/subscription. Cancellation is immediate upon confirmation but becomes effective at the end of your current billing cycle. No support ticket or email is required.

5.5 Upgrade and Downgrade. You may upgrade or downgrade your subscription tier at any time. Upgrades take effect immediately and are billed pro-rata for the current month, with the full fee due on the first of the next month. Downgrades take effect on the first day of the next billing cycle.

5.6 Free-to-Paid Conversion. Free Tier users may upgrade to Founder Tier or Standard Tier at any time. After upgrade, your subscription will renew automatically on your billing anniversary date unless cancelled.

6. Automatic Renewal Compliance (California Automatic Renewal Law)

6.1 Pre-Checkout Disclosures. Before charging your payment method for any automatically renewing subscription, FreightBid will display clear, conspicuous disclosures of the subscription terms, renewal billing frequency, pricing, cancellation mechanism, and your right to retain a copy of the agreement for your records.

6.2 Affirmative Consent. By clicking "Subscribe," you affirmatively authorize FreightBid to charge your payment method on the dates specified, for as long as your subscription remains active.

6.3 Acknowledgment of Right to Cancel. You acknowledge that you have the right to cancel at any time without penalty, and that cancellation does not require a phone call, support ticket, or email—it can be completed immediately through your Account Settings dashboard.

6.4 Confirmation and Retention. Immediately after your first charge, FreightBid will send a confirmation email to your account address that includes: the subscription plan name, the billing frequency, the next charge date, the amount, the payment method (last 4 digits), a reminder of your cancellation right, a direct link to your cancellation page (freightbid.io/account/subscription), and FreightBid's physical mailing address as set forth in the document footer. You should retain this email for your records.

6.5 Modification of Terms. FreightBid may modify subscription pricing with 30 days' notice via email. The modification applies starting with your next billing cycle after the notice period ends. If you do not accept the new price, you may cancel before the modification takes effect.

7. Broker and Carrier Quote Submissions

7.1 Authorization to Bind. Any person submitting a Quote through the Platform—whether through a registered account or through a Shipper-provided quote-submission link—represents and warrants that (a) they are authorized by the Broker or Carrier identified in the Quote to submit Quotes on that entity's behalf, (b) they have actual or apparent authority to bind that entity to the terms of the submitted Quote, and (c) the information submitted is accurate, complete, and offered in good faith.

7.2 Accuracy of Quote Information. Brokers and Carriers are solely responsible for the accuracy of all information contained in Quotes, including pricing, equipment, capacity, service terms, regulatory authority, and insurance. FreightBid makes no representation as to the accuracy of any Quote and does not verify Quote content.

7.3 No-Login Quote Submission. Shippers may invite Brokers and Carriers to submit Quotes via unique, non-transferable quote-submission links. By using such a link, the Broker or Carrier agrees to these Terms and to the Privacy Policy, whether or not the Broker or Carrier creates a FreightBid account. Quote-submission links are personal to the invited recipient and may not be forwarded, shared, or used by any party other than the invited Broker or Carrier. FreightBid may expire, revoke, or rate-limit quote-submission links at its discretion.

7.4 Unauthorized Submissions. If a Quote is submitted without proper authority, the Broker or Carrier named in the Quote may disclaim the Quote by written notice to FreightBid within five (5) business days of becoming aware of the unauthorized submission. FreightBid will mark the Quote as disclaimed in its system. Disclaimed Quotes do not bind the named Broker or Carrier. If a Shipper has awarded a shipment to a Quote that is subsequently disclaimed under this Section 7.4, the Shipper's remedies lie against the unauthorized submitter and the named Broker or Carrier. FreightBid will provide reasonable forensic cooperation including production of relevant logs under Section 7.5, at no charge to the Shipper, to support the Shipper's recovery efforts.

7.5 FreightBid Logging. To support the integrity of the quote process and to protect Brokers, Carriers, and Shippers against unauthorized use, FreightBid logs quote-submission activity, including IP address, timestamp, browser information, and link-access history. This logging data is retained in accordance with the Privacy Policy.

8. RFQ & Quote Data Ownership

8.1 Shipper-Owned RFQ Data. Shippers retain all ownership rights to RFQ content created and posted through the Platform, including shipment details, equipment specifications, special instructions, and lane information.

8.2 Broker-Owned Quote Data. Brokers and Carriers retain all ownership rights to Quote content they submit, including pricing, service terms, capacity offerings, and equipment specifications.

8.3 FreightBid License. FreightBid retains a limited, non-exclusive license to: (a) process, display, and manage RFQ and Quote data within the Platform; (b) generate anonymized, aggregated analytics and benchmarking data for use by existing Platform customers; (c) perform system backups and disaster-recovery operations; (d) comply with legal obligations.

8.4 No Other Use. Except as specified in Section 8.3 and Section 9 below, FreightBid will not use, reproduce, modify, distribute, or publish Shipper or Broker data without their prior written consent.

9. Anonymized Data

FreightBid uses aggregated, anonymized data to provide benchmarking and platform intelligence to our customers. We do not sell, license, or commercially share this data with any third party for their independent use. Anonymized data may be processed and stored by our infrastructure subprocessors solely to support Platform operations; these subprocessors are bound by contractual obligations that prohibit independent use. Anonymized data means data that has been processed to remove or obscure the identity of all Brokers, Carriers, Shippers, and individuals, such that it cannot reasonably be linked back to any specific entity or person.

10. Acceptable Use

You agree not to use the Platform for any of the following:

  • (a) Creating, issuing, or submitting fake, frivolous, or test RFQs or Quotes with no genuine intent to transact;
  • (b) Manipulating quoted prices or rates through collusion, fake competing offers, or artificial demand creation;
  • (c) Scraping, crawling, indexing, or automated extraction of data from the Platform without FreightBid's prior written consent;
  • (d) Spamming Brokers or Carriers with unsolicited communications via the Platform's quoting channels or email notification system;
  • (e) Attempting to circumvent FreightBid's systems, security controls, or usage limits;
  • (f) Impersonating another user, Broker, or Carrier;
  • (g) Posting content that is defamatory, obscene, harassing, or infringes third-party intellectual property rights;
  • (h) Using the Platform for any illegal purpose or in violation of applicable law.

Violation of this Section 10 may result in immediate account suspension and termination.

10.5 User Communications and Disputes

Users are solely responsible for their communications with other users through Platform messaging, Q&A, amendment, and notification features. FreightBid does not moderate, verify, or endorse user communications. Disputes between users are the responsibility of those users to resolve; FreightBid may, at its discretion, suspend communication privileges or disclose platform logs in response to legal process, but has no obligation to intervene, mediate, or take corrective action.

10.6 Refund Forfeiture

For any violation of this Section 10, accounts suspended or terminated for material breach are not entitled to any refund, pro-rata credit, or compensation for the unused portion of any paid subscription period. FreightBid's termination right under this Section is in addition to, and not in lieu of, any other rights and remedies available at law or in equity.

11. Quote Confidentiality & Anti-Collusion

11.1 Quote Confidentiality. Each Broker's or Carrier's Quote is confidential and proprietary. FreightBid does not disclose one Broker's Quote to another Broker unless the Shipper explicitly directs FreightBid to do so (e.g., by forwarding or publishing).

11.2 Platform Controls. The Platform's technical controls prevent Brokers from viewing competing Quotes without Shipper authorization, ensuring quote confidentiality and preventing coordinated rate manipulation.

11.3 Challenge Feature. FreightBid may offer a "Price Match Challenge" feature that allows non-winning Brokers to counter-offer at a lower price. This feature:

  • Is always initiated by the Shipper, not suggested by FreightBid;
  • Does not disclose the winning Broker's identity or the winning price to non-winning Brokers;
  • Provides only a source-blind target price for counter-offers;
  • Is used only with the Shipper's explicit consent.

11.4 Anti-Collusion. You agree not to coordinate with other Brokers, Carriers, or Shippers to artificially influence pricing, manipulate RFQs, or engage in other anticompetitive conduct in violation of the Sherman Act, Clayton Act, FTC Act, or similar state or foreign antitrust laws.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FREIGHTBID IS NOT LIABLE FOR:

  • INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, including lost profits, lost revenue, lost data, loss of business opportunity, or cost of substitute services, EVEN IF FREIGHTBID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • DIRECT DAMAGES RELATED TO FREIGHT TRANSPORTATION, including: shipment damage, loss, delay, misdelivery, improper handling, temperature excursion, failure to deliver, or failure of any Broker or Carrier to perform transportation services. These risks and liabilities belong entirely to the Shipper, Broker, and Carrier, not to FreightBid.
  • BROKER OR CARRIER DEFAULT, INSOLVENCY, OR MISCONDUCT, including failure to bill, failure to deliver, fraud, misrepresentation, or regulatory violations by any Broker or Carrier.
  • DATA LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS during or after Platform downtime or service interruptions, except to the extent caused by FreightBid's gross negligence.
  • THIRD-PARTY SERVICE FAILURES, including Stripe payment processor outages, Amazon SES email delivery issues, or Cloudflare CDN disruptions.

12.2 Cap on Liability. NOTWITHSTANDING ANYTHING ELSE IN THESE TERMS, FREIGHTBID'S TOTAL LIABILITY TO YOU ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES YOU HAVE PAID TO FREIGHTBID IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. If you have paid no subscription fees (i.e., you are a Free Tier user), FreightBid's liability is limited to $100.

12.3 Platform Is a Tool, Not a Guarantee. You acknowledge that FreightBid is a procurement platform, not a transportation provider or intermediary. It provides tools for quote comparison, not expertise in carrier selection, route optimization, or transportation risk management. You agree to use your own judgment and expertise in selecting Brokers and Carriers and in evaluating Quotes.

13. Indemnification

13.1 Mutual Indemnification. You agree to defend, indemnify, and hold harmless FreightBid (including its officers, directors, employees, agents, and affiliates) from and against any and all claims, demands, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • (a) Your use of the Platform in violation of these Terms;
  • (b) Your violation of any applicable law, regulation, or third-party right;
  • (c) Your RFQ content, including accuracy, completeness, regulatory compliance, and legality;
  • (d) Your selection, vetting, or management of Brokers and Carriers;
  • (e) Your acceptance or rejection of any Quote;
  • (f) Any transportation contract you enter into with a Broker or Carrier resulting from a Quote;
  • (g) Injury, death, or property damage arising from transportation arranged through the Platform, to the extent such claims allege negligence or wrongdoing by the Shipper or its selected Broker or Carrier, but excluding claims alleging negligence or wrongdoing by FreightBid;
  • (h) Your breach of this Agreement.

13.2 FreightBid's Indemnification. FreightBid agrees to defend, indemnify, and hold harmless you (including your officers, directors, employees, and agents) from and against any and all claims, demands, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from: (a) infringement of third-party intellectual property rights (copyright, patent, trademark, trade secret) by the Platform software or content developed by FreightBid (excluding your content); (b) FreightBid's breach of this Agreement; (c) FreightBid's gross negligence or willful misconduct.

13.3 Indemnification Procedures. The indemnified party must promptly notify the indemnifying party of the claim and cooperate in its defense. The indemnifying party has the right to control the defense and settlement of any claim, provided that it does not settle in a manner that admits liability or imposes obligations on the indemnified party without that party's prior consent.

14. Founder Tier Pricing Commitment

Plain-English Summary: Founder Tier subscriptions are available to the first twenty-five (25) subscribers at a rate of $199 per month. Once all Founder Tier slots have been claimed, this pricing tier will be closed to new subscribers. Founder Tier subscribers retain their locked-in $199/month rate for as long as they maintain continuous, uninterrupted active subscription. The full operative provisions of this commitment are set forth in Sections 14.1 through 14.9 below.

14.1 The Commitment. FreightBid is offering a limited enrollment of Founder Tier subscriptions—capped at a maximum of twenty-five (25) total subscribers across the Platform's lifetime—at a monthly subscription fee of $199. Customers who successfully enroll in the Founder Tier during the Founder Launch Period (defined as the period beginning on May 1, 2026 and ending on the earlier of April 30, 2027 or the date FreightBid publicly announces that Founder Tier enrollment has closed, which will occur no later than when the twenty-fifth Founder Tier subscription is activated) are entitled to the Founder Pricing Commitment set forth in this Section 14.

14.2 What the Commitment Provides; Binding on Successors. A Founder Tier subscriber's monthly subscription fee for the core Founder Tier service will remain $199 per month and will not be increased for as long as the subscriber maintains continuous, uninterrupted active subscription to the Founder Tier. This commitment is perpetual in duration, survives all standard price increases to other subscription tiers, and is not subject to escalation based on changes in FreightBid's cost structure, operating expenses, or market conditions. FreightBid's obligations under this Section 14 bind FreightBid and all successors, assignees, and acquirers in connection with any merger, acquisition, bankruptcy, sale of substantially all assets, or other change in control. This provision is intended to be enforceable by Founder Tier subscribers as third-party beneficiaries against any successor entity.

14.3 Continuous Subscription Required. The Founder Pricing Commitment applies only during continuous, uninterrupted active subscription. A Founder Tier subscription that remains paid and in good standing is considered "continuous" regardless of Platform usage frequency; account inactivity under Section 4.4 does not affect the Founder Pricing Commitment so long as subscription fees continue to be paid. If a Founder Tier subscriber cancels, allows the subscription to lapse for non-payment beyond FreightBid's standard grace period, or downgrades to the Free Tier, the Founder Pricing Commitment terminates and cannot be restored. A former Founder Tier subscriber whose subscription has terminated may re-enroll only at then-current Standard Tier pricing, even if the twenty-five-subscriber cap has not been reached.

14.4 Scope of the Commitment. The Founder Pricing Commitment is a commitment as to the monthly subscription fee for the core Founder Tier service. It does not apply to, and FreightBid reserves the right to price separately:

  • (a) add-on features, modules, integrations, enterprise services, or product tiers that FreightBid introduces after a subscriber's enrollment date and that are not part of the core Founder Tier service as of that subscriber's enrollment date;
  • (b) usage-based charges, if any, that are disclosed in advance and apply uniformly to all subscription tiers.

14.5 Service-Level Representations. The Founder Pricing Commitment is a pricing commitment only. It does not guarantee any specific feature set, service level, product availability, or continued operation of the Platform. FreightBid retains full discretion to modify, improve, or discontinue features and to manage the Platform as a whole, subject to its other obligations under these Terms and applicable law.

14.6 Feature Evolution. Features added, modified, deprecated, or removed under Section 3.7 do not constitute modifications, reductions, or terminations of the Founder Pricing Commitment for purposes of Section 20, provided that the Platform continues to provide procurement and RFQ functionality substantially similar in purpose to what existed at the subscriber's enrollment date.

14.7 Force Majeure and Service Interruption. In the event of extended service unavailability due to force majeure as defined in Section 21.1, FreightBid may suspend billing during the affected period. Such suspension does not constitute a break in "continuous subscription" for purposes of Section 14.3, provided the subscriber resumes payment within 30 days of service restoration.

14.8 No Transfer. The Founder Pricing Commitment is personal to the subscribing entity and does not transfer to any successor, assignee, acquirer, or third party in connection with a sale, assignment, merger, or change of control of the subscriber, except with FreightBid's prior written consent. Any attempted transfer without consent terminates the Commitment.

14.9 Cap and Public Accounting. FreightBid will maintain a publicly accessible count of remaining Founder Tier slots on its website until the twenty-five-subscriber cap is reached. Once the cap is reached, Founder Tier enrollment closes permanently and no additional Founder Tier subscriptions will be offered at any future date, regardless of whether existing Founder Tier subscriptions terminate. Founder Tier slots, once activated, are permanently consumed and are not released back to the available pool upon termination of the subscription.

15. Dispute Resolution

15.1 Governing Law. These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. You agree that the UN Convention on Contracts for the International Sale of Goods does not apply.

15.2 Exclusive Venue. You irrevocably consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, and waive any objection to venue or claim of inconvenient forum.

15.3 Individual Claims Only and Statutory Rights Carve-Out. ANY DISPUTE MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. You waive your right to participate in any class, collective, or representative action against FreightBid. If any court determines that the class action waiver in this Section is unenforceable as to a particular claim, then that claim (and only that claim) may proceed on a class basis, but all other claims between the parties must proceed on an individual basis as otherwise provided in these Terms. Notwithstanding the foregoing, nothing in this Section waives any non-waivable statutory right, including rights under the California Consumer Privacy Act, California Unfair Competition Law, or analogous state consumer protection statutes, which may be pursued in any manner permitted by such statutes.

15.4 Small Claims Carve-Out. Notwithstanding any other provision, either party may pursue claims in small claims court in lieu of court proceedings, provided the matter qualifies for small claims jurisdiction under California law.

15.5 30-Day Notice and Cure Period. Before initiating any legal proceeding (other than emergency injunctive relief), the complaining party must first send written notice to the other party describing the dispute in reasonable detail and proposing a good-faith remedy. The parties will have 30 days from receipt of notice to resolve the dispute.

15.6 Statute of Limitations. Any claim or cause of action arising out of or related to use of the Service must be filed within one (1) year after the claim or cause of action arose, except where applicable law requires a longer period that cannot be contracted around.

16. Intellectual Property

16.1 Platform IP. FreightBid owns all right, title, and interest in and to the Platform, including all software, source code, design, graphics, documentation, user interface, aggregated analytics, and any other intellectual property developed, maintained, or controlled by FreightBid.

16.2 Your Content Ownership. Shippers retain all ownership rights to RFQ content (Section 8.1). Brokers and Carriers retain all ownership rights to Quote content (Section 8.2).

16.3 FreightBid's License. You grant FreightBid a non-exclusive, worldwide, royalty-free license to use your RFQ and Quote content solely as necessary to operate the Platform and generate anonymized analytics (Section 8.3).

16.4 DMCA. FreightBid respects intellectual property rights. If you believe content on the Platform infringes your copyright, trademark, patent, or trade secret, please send written notice to dmca@freightbid.io, including:

  • A description of the allegedly infringing content;
  • Your claim of ownership or authorization to represent the rights holder;
  • A statement under penalty of perjury that your notice is accurate and that you are authorized to act;
  • Your contact information and signature.
17. Service Availability

17.1 "As-Is, As-Available" Basis. The Platform is provided "as is" and "as available" without warranty of any kind. FreightBid does not guarantee uninterrupted, error-free, or secure access.

17.2 Best Efforts. FreightBid will use commercially reasonable efforts to maintain Platform availability and will attempt to perform maintenance with reasonable advance notice when feasible.

17.3 No SLA. FreightBid makes no service-level agreement, uptime commitment, or performance guarantee.

17.4 No Liability for Downtime. FreightBid is not liable for Platform downtime, temporary service interruptions, scheduled or emergency maintenance, or third-party service disruptions.

18. Account Termination

18.1 Termination by FreightBid. FreightBid may suspend or terminate your account at any time without notice if:

  • You materially breach these Terms and fail to cure the breach within 15 days of receiving written notice;
  • You engage in fraud, abuse, or unauthorized access;
  • You fail to pay subscription fees within 30 days of invoice;
  • Your use of the Platform violates applicable law or harms FreightBid or other users.

18.2 Termination by You. You may close your account at any time by logging in to your Account Settings. Free Tier accounts are closed immediately. Paid subscription accounts may be cancelled as specified in Section 5.4.

18.3 Effect of Termination. Upon any termination of your account, regardless of cause:

  • (a) Your access to the Platform ceases immediately;
  • (b) Personal data is subject to deletion per the retention schedule in the Privacy Policy;
  • (c) Business and transaction records are retained per Section 19 and applicable law;
  • (d) Sections 8, 12, 13, and 15 survive termination.

Additionally, accounts terminated for material breach under Section 10 or Section 18.1 are not entitled to any refund, pro-rata credit, or compensation for the unused portion of any paid subscription period.

20. Modifications to Terms

These Terms may be modified at any time. Notwithstanding the general modification mechanism above, FreightBid may not modify, reduce, or terminate any Founder Tier subscriber's rights under Section 14 without that individual subscriber's separate, affirmative written consent. FreightBid may amend the text of Section 14 to add benefits or clarifications that do not reduce any existing subscriber's rights, and such amendments take effect for all subscribers without individual consent. All other modifications become effective 30 days after email notice to your account address. Continued use after the notice period constitutes acceptance.

21. Force Majeure & Miscellaneous

21.1 Force Majeure. Neither party is liable for failure to perform due to events beyond its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, labor strikes, government action, telecommunications failures, or infrastructure outages affecting the internet or cloud providers.

21.2 Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and FreightBid regarding the Platform and supersede all prior agreements, understandings, and negotiations.

21.3 Severability. If any provision of these Terms is found invalid, illegal, or unenforceable, that provision is severed and the remaining provisions continue in full force and effect.

21.4 Waiver. Failure by FreightBid to enforce any provision does not constitute a waiver of that provision or any other provision.

21.5 Assignment. You may not assign these Terms or your account. FreightBid may assign these Terms to a successor in connection with a merger, acquisition, bankruptcy, or sale of substantially all assets, with 30 days' notice to you.

21.6 Notices. Legal notices to you should be sent to the email address on your account. Notices to FreightBid should be sent to support@freightbid.io. Notices are effective upon receipt.

21.7 Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employee relationship between you and FreightBid.
